• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL;
• PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM YOUR USE OF THE SERVICES OR CONSUMPTION OF OUR PRODUCTS, EXCEPT WHERE SUCH EXCLUSION IS PROHIBITED BY APPLICABLE LAW;

IN NO EVENT SHALL EAST COAST WINGS' TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO EAST COAST WINGS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

THE LIMITATIONS OF LIABILITY SET FORTH HEREIN ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN EAST COAST WINGS AND YOU. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN THEIR ENTIRETY.

10. Indemnification

You agree to defend, indemnify, and hold harmless East Coast Wings and its affiliates, subsidiaries, officers, directors, employees, agents, licensors, service providers, and successors and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service;
• Your use or misuse of the Site or Services;
• Your violation of any applicable federal, state, or local law, regulation, or third-party right, including but not limited to any intellectual property, privacy, or consumer protection right;

These Terms of Service shall be governed by and construed in accordance with the laws of the United States of America and the laws of the applicable state in which East Coast Wings' principal place of business is located, without regard to conflict of law principles that would cause the application of the laws of any other jurisdiction.

To the extent any dispute is not subject to binding arbitration as set forth in Section 12 below, you consent to the exclusive personal jurisdiction of the federal and state courts located in the United States for the purpose of litigating any dispute arising out of or related to these Terms or the Services. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

These Terms are also subject to all applicable federal laws, including but not limited to the Federal Trade Commission Act (15 U.S.C. § 45), the Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001 et seq.), the Computer Fraud and Abuse Act (18 U.S.C. § 1030), and the Children's Online Privacy Protection Act (COPPA, 15 U.S.C. §§ 6501–6506).

12. Dispute Resolution and Arbitration

12.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services informally by contacting East Coast Wings at [email protected] with a written description of the dispute, your name, contact information, and the relief requested. East Coast Wings will attempt to respond and resolve the matter within thirty (30) days of receipt of your notice. If the dispute cannot be resolved informally within thirty (30) days, either party may pursue the remedies outlined below.

12.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS AND CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER.

Except for claims for injunctive or equitable relief or claims regarding intellectual property rights, any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, before a single arbitrator. The arbitration shall be conducted in the United States, in English, and the arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AND EAST COAST WINGS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and East Coast Wings agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

12.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive relief from a court of competent jurisdiction to prevent irreparable harm pending final resolution of a dispute by arbitration.

13. Term and Termination

These Terms of Service are effective as of the date you first access the Site or use the Services and shall remain in full force and effect until terminated in accordance with this Section.

East Coast Wings may, in its sole discretion and without prior notice or liability, immediately terminate or suspend your access to all or part of the Site and Services for any reason, including but not limited to:

• Your engagement in fraudulent, abusive, or illegal conduct;
• Requests from law enforcement or other governmental or regulatory authorities;
